# Risk Disclosure & Important information

Last updated: 15 September 2026 · Version 1.0

Issued by Freddy Made another one LLC , 1209 Mountain Road Pl NE, Ste R, Albuquerque, NM 87110, United States (" Beaver ", " we ", " us ").

This Risk Disclosure forms part of, and is incorporated into, the TryBeaver Terms of Service . Capitalised terms have the meanings given there. Read this document in full before using the App.

## Part A - Gate notice

Please read and accept the following before proceeding.

The information in the TryBeaver web and iOS applications is not an offer, solicitation, invitation or recommendation to buy, sell or subscribe for any security, tokenized security, derivative or financial product, and is not directed at any person in any jurisdiction where such an offer or solicitation is not permitted by law.

Beaver is software. Beaver does not issue, custody, back, redeem, guarantee or make a market in any asset, does not hold your funds or your keys, does not provide investment, legal or tax advice, and is not registered with or supervised by any financial regulator.

The tokenized financial assets accessible through the App are issued by third parties, not by Beaver. They have not been and will not be registered under the U.S. Securities Act of 1933, as amended, or with any securities regulatory authority of any state or other jurisdiction of the United States, and (i) may not be offered, sold or delivered within the United States, or to or for the account or benefit of U.S. Persons, and (ii) may be offered, sold or otherwise delivered only to transferees that are Non-United States Persons. They are also not promoted or offered to clients based in the United Kingdom.

The offering or sale of such assets in certain jurisdictions may be restricted by law, including because of the underlying asset. Information in the App may not be distributed outside jurisdictions where the relevant issuer's prospectus has been approved or passported.

Your rights, if any, in respect of any tokenized asset arise only under the documentation of the issuer of that asset, not under any agreement with Beaver. An investment decision in respect of any such asset must be made only on the basis of the official documents published by the issuer in accordance with applicable securities laws.

Some information in the App may contain forward-looking statements. Forward-looking statements are not guarantees of future performance, involve risks and uncertainties, and actual results may differ materially. Past performance is not an indication or guarantee of future performance. The value of any asset may fluctuate sharply and you may not recover the amount you put in.

Nothing in the App is a substitute for economic, legal, tax or other professional advice. Consult your own advisers before making any decision.

If you are a U.S. Person, a UK Person, a Sanctioned Person, or located in a restricted jurisdiction, or if tokenized-equity products are not lawfully available to you where you are, please do not use the App.

## Part B - Risk factors

### 1. You can lose everything

You may lose the entire value of what you put in, quickly and without warning, with no prospect of recovery. There is no deposit insurance, no investor-compensation scheme, no SIPC, FSCS or FDIC coverage, no guarantor, no backstop and no ombudsman. Only commit amounts you can afford to lose in full.

### 2. Tokenized equities are not shares

A tokenized equity is a token issued by a third party that is intended to reference the value of a listed security. Holding it is not the same as owning a share.

- It confers no voting rights and no governance rights of any kind.
- It confers no legal claim against the referenced company.
- It confers no right to a dividend from that company. Where an issuer operates an economic pass-through (for example, by reinvesting dividends into the underlying and passing this to holders through token rebasing), that pass-through is the issuer's contractual arrangement, not a right against the company, and may be varied, taxed, delayed or withdrawn.
- It is not held for you by Beaver.
- Your rights, if any, are against the issuer , on the issuer's terms. Read the issuer's documentation before you acquire any tokenized asset.

### 3. Issuer, custody and redemption risk

The issuer may become insolvent. Its custodians may fail. Backing may prove inadequate, delayed, unverified or mis-stated. Redemption may be suspended, restricted to qualified or professional investors, made subject to minimums you cannot meet, or withdrawn entirely. You may hold a token you cannot redeem. The token may de-peg from the value of the referenced asset for extended periods.

### 4. Price, liquidity and market structure risk

On-chain markets for tokenized equities are new, thin and fragmented. Spreads may be wide; even small orders can move the price materially; liquidity can disappear. The token may trade at a significant premium or discount to the referenced security. It may trade twenty-four hours a day while the underlying market is closed, with prices that gap violently when that market reopens. Corporate actions - splits, mergers, delistings, halts, suspensions - may affect the underlying without a corresponding, timely or equivalent adjustment in the token.

### 5. Regulatory and characterisation risk

The legal treatment of tokenized assets is unsettled and differs by jurisdiction. A token may be, or may be determined to be, a security, derivative, structured product or other regulated instrument where you are. Regulators may act against the issuer, a venue, an intermediary or the product class itself, which could freeze, delist, restrict or destroy value without notice. You alone are responsible for determining whether it is lawful for you to hold any such asset.

### 6. Self-custody risk

Your Wallet is self-custodial and provisioned through Privy. Beaver holds no key material and cannot recover your Wallet.

- If you lose your authentication and recovery factors, your assets are gone permanently.
- If you sign a malicious transaction - from a phishing site, a fake support agent, a compromised extension or a spoofed prompt - your assets can be drained in seconds and cannot be recovered.
- If you send assets to a wrong address, or on the wrong network, they are gone.
- Confirmed blockchain transactions are irreversible by anyone, including us. Never share your recovery details. Beaver staff will never ask for them.

### 7. Smart contract and protocol risk

The App interacts with smart contracts and protocols that we did not write, do not control and have not audited. They may contain bugs, design flaws or exploitable vulnerabilities. Deployed code generally cannot be changed. An exploit may result in total loss of assets held in or routed through such contracts.

### 8. Blockchain and network risk

Solana and/or other supported blockchain networks may experience congestion, degraded performance, outages, halts, reorganisations, forks, validator failures or consensus attacks. Transactions may fail, revert, expire, be delayed, be duplicated or be reordered. Network fees may spike. Advances in cryptanalysis, including quantum computing, may in future compromise the cryptography on which your Wallet depends.

### 9. Execution risk

Orders route through third-party venues. You may experience slippage, adverse price impact, partial fills, failed transactions, front-running or sandwich attacks. Beaver does not owe you best execution, does not guarantee any price, quantity or timing, and is not a counterparty to any trade. The price shown before you sign is indicative; the price achieved on-chain governs.

### 10. Data and display risk

Prices, balances, portfolio values, gains, losses, categories, merchant names and aggregate statistics shown in the App are supplied by third parties or derived from them. They may be delayed, incomplete, stale or wrong. Oracles may be manipulated. The blockchain is the authoritative record; the interface is not. Do not transact on a displayed figure as if it were guaranteed.

### 11. Bank-connection and round-up risk

Transaction data comes from your financial institution via a third-party aggregator. It may be delayed, duplicated, mis-categorised or restated when a pending transaction posts. A Purchase may later be refunded, disputed or reversed. A round-up calculated on flawed data may still result in an order that, once executed on-chain, cannot be reversed . Beaver never debits your bank or card account; round-ups are funded only from assets already in your Wallet.

### 12. Third-party dependency risk

The App depends on Privy, data aggregators, RPC and indexing providers, exchanges and routers, oracles, on-ramps, hosting and notification providers, and the Apple App Store. Any of them may fail, change terms, restrict your jurisdiction or shut down without notice. Beaver does not control them and is not responsible for them.

### 13. Operational and discontinuation risk

Beaver is an early-stage product, in parts distributed as a beta or TestFlight release. It may contain defects. Features may change or be removed. Assets may be delisted. The App may be suspended or discontinued entirely at any time. Because your Wallet is self-custodial, your assets remain yours if that happens - but the interface, the round-up automation, the portfolio view and any support may cease to exist, and you would need to manage your Wallet and assets yourself using third-party tools.

### 14. Tax risk

The tax treatment of acquiring, holding, rebasing, disposing of and receiving rewards in tokenized assets is uncertain and varies by jurisdiction. Taxable events may arise at times you do not expect, including on each small automated purchase. Beaver does not withhold tax, does not calculate your position and does not provide tax advice or tax statements. Frequent small transactions can create a substantial reporting burden. Obtain your own advice.

### 15. Rewards are not yield

Any bonus, referral reward or promotional distribution is a discretionary marketing promotion. It is not interest, yield, a dividend, a revenue share, a security or a return on investment. It creates no entitlement to anything in the future, may be varied or withdrawn prospectively, and may be withheld or clawed back where abuse is suspected. If you are participating because you expect to profit from our efforts in operating such a programme, do not participate.

### 16. Behavioural risk

Beaver is designed to make investing frequent and frictionless. Frequent, automated, small purchases are not inherently prudent. Gamified progress, streaks, achievements and notifications are engagement features, not signals about whether a decision is right for you. Concentrating your savings in a single company - the "one stock" mode - is a concentrated, undiversified position and can lose value entirely. Round-ups and matches commit money you have already spent elsewhere; make sure you are not investing money you need.

## Part C - Acknowledgement

By using the App you confirm that you have read and understood this Risk Disclosure; that you accept the risks described, which are not exhaustive ; that you are not relying on Beaver for advice, suitability, diligence or risk assessment; that you have made your own independent enquiries; and that you are eligible under Section 4 of the Terms of Service.

If you do not accept these risks, do not use the App.
